Terms of Service

01The service

Berkobot provides software that lets a business ("you," "business client") connect its own WhatsApp Business Account (WABA) to a platform for appointment scheduling, customer messaging, payment links, and document delivery. Berkobot operates as a Meta Tech Provider: your WABA remains owned by your own Meta business portfolio, and you separately agree to Meta's own WhatsApp Business Terms and platform policies, which continue to apply alongside these terms.

02Accounts and eligibility

• You must be authorized to act on behalf of the business you're registering, and to connect that business's WhatsApp Business Account.
• You're responsible for the accuracy of the information you provide and for keeping your login credentials secure.
• You're responsible for the actions of staff you grant access to your Berkobot account.

03Your responsibilities on the WhatsApp platform

Because we connect your account to WhatsApp's platform, you agree to:

• Only message end users who have opted in to be contacted, consistent with WhatsApp's platform policies and applicable law.
• Use message templates for the purpose they were approved for (e.g. not sending marketing content through a utility template).
• Not use the platform to send content that violates WhatsApp's Commerce or Business Messaging policies, including content that is illegal, deceptive, or related to prohibited goods or services.
• Maintain the message quality and opt-out practices needed to keep your WhatsApp number in good standing — we may need to pause features if Meta restricts your number for a policy issue outside our control.

04Your data and content

You retain ownership of the data you and your end users put into the platform — customer records, messages, documents, and booking data. We process that data as described in our Privacy Policy, under your instructions, to provide the service to you. You're responsible for having the right to share your end users' data with us for that purpose, including any consents required under applicable law.

05Payments and billing

• Fees for the platform are set out in your order form or plan and billed on the agreed schedule.
• Where the platform generates payment links for your end users, those payments are processed by your own payment provider under your existing agreement with them — Berkobot facilitates the link and reconciliation, but is not a party to that payment.
• WhatsApp messaging fees charged by Meta are separate from Berkobot's own fees and are billed according to Meta's own pricing for your account.

06Acceptable use

You agree not to:

• Use the platform to violate any law, or the rights of any third party.
• Attempt to access another business client's data or account.
• Reverse-engineer, resell, or white-label the platform without a separate written agreement with us.
• Use the platform to send spam, unsolicited bulk messages, or content designed to deceive recipients.
• Interfere with or disrupt the platform's infrastructure or security.

07Availability and support

We aim to keep the platform available and will give notice of planned maintenance where practical. Some functionality depends on third-party platforms we don't control — Meta's WhatsApp Business Platform, scheduling infrastructure, and payment providers — and an outage or policy change on their side may affect the service without being within our control to prevent.

08Liability

The platform is provided on an "as is" basis. To the extent permitted by applicable law, Berkobot is not liable for indirect, incidental, or consequential damages arising from use of the platform, including losses caused by an outage, policy change, or restriction imposed by Meta or another third-party provider we integrate with. Nothing in these terms limits liability that cannot be limited under applicable law.

09Suspension and termination

• Either party may terminate the agreement as set out in your order form, or with reasonable notice if none is specified.
• We may suspend or restrict access if your use of the platform violates these terms, WhatsApp's platform policies, or applicable law, or where required by Meta as the underlying platform provider.
• On termination, we'll retain your data only as long as needed to wind down the account or as required by law, consistent with our Privacy Policy.

10Changes to these terms

We may update these terms from time to time. We'll update the "last updated" date above, and for material changes we'll notify business clients directly in addition to posting the update here.

11Governing law

These terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles, unless a separate signed agreement between you and Berkobot states otherwise.
